1. Agreement to Terms

By accessing or using celify.io ("the website") or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Who We Are

Celify is a Google Maps SEO agency that helps local businesses rank in the top 3 on Google Maps. We are reachable at celi@celify.io.

3. Our Services

Celify provides Google Maps SEO services including but not limited to:

• Google Business Profile optimization

• Website optimization for local SEO signals

• Citation and backlink building

• Free Google Maps analysis videos

The scope, timeline, and deliverables of each engagement are agreed upon individually with each client before work begins.

4. Payment Terms

• All projects require a 50% upfront payment before work begins.

• The remaining 50% is due once the client reaches the top 3 on Google Maps for the agreed keyword(s).

• If the top 3 ranking is not achieved within the agreed timeline, Celify will continue working at no additional charge until the ranking is reached.

• Payments are non-refundable once work has commenced, except where explicitly agreed otherwise in writing.

5. Client Responsibilities

To deliver our services effectively, clients agree to:

• Provide access to their Google Business Profile and website as requested

• Provide accurate and complete business information

• Respond to reasonable requests for information or approvals in a timely manner

• Not make significant changes to their Google Business Profile or website without notifying Celify

Failure to fulfill these responsibilities may affect results and timelines. Celify is not liable for delays or underperformance caused by the client's failure to cooperate.

6. Results and Guarantees

• Celify works to achieve top 3 Google Maps rankings for agreed keywords within the agreed timeline.

• SEO results depend on multiple factors including niche competitiveness, location, and Google algorithm changes. While Celify makes every effort to deliver results, we cannot guarantee specific ranking positions within a fixed timeframe in all cases.

• In the event that the agreed ranking is not achieved, Celify will continue working at no additional charge as outlined in Section 4.

7. Exclusivity

Celify operates on a one client per niche per location basis. By engaging our services, you agree that Celify may not work with your direct competitors in the same niche and location during the term of your engagement.

8. Intellectual Property

All content on celify.io, including text, logos, graphics, and materials, is the property of Celify and may not be copied, reproduced, or distributed without written permission.

Work produced for clients (optimized profiles, content, etc.) becomes the property of the client upon full payment.

9. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement. This includes but is not limited to business strategies, pricing, and client data.

10. Limitation of Liability

To the fullest extent permitted by law, Celify is not liable for:

• Indirect, incidental, or consequential damages

• Loss of revenue or business opportunities

• Changes to Google's algorithm or ranking systems that affect results

• Actions taken by third parties that affect your Google Business Profile or website

Our total liability in any case shall not exceed the amount paid by the client for the specific service in question.

11. Termination

Either party may terminate the engagement with written notice. In the event of termination:

• The client is not entitled to a refund of the upfront 50% payment if work has already commenced.

• If the top 3 ranking has not been achieved at the time of termination, the second 50% payment is not due.

• Celify retains the right to terminate an engagement if the client violates these terms or fails to fulfill their responsibilities.

12. Governing Law

These terms are governed by the laws of the jurisdiction in which Celify operates. Any disputes shall be resolved through good-faith negotiation before pursuing legal action.

13. Changes to These Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the new terms.
